These Terms of Service ("Terms") govern your access to and use of the CleanSmart data cleaning platform, the cleansmartlabs.com website, and any related services (collectively, the "Services") provided by CleanSmartLabs ("CleanSmartLabs," "we," "our," or "us").
By creating an account, accessing, or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you are using the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization. If you don't agree to these Terms, please don't use the Services.
The Services
CleanSmart is a no-code platform for cleaning and standardizing customer data. It detects duplicate records, standardizes formatting, fills missing values, and flags anomalies across the data you upload or connect. Every change is confidence-scored and surfaced for your review—you decide what gets applied, and nothing is changed to your data without your sign-off.
We may add, change, or remove features over time as we improve the Services. If we make a material change that significantly reduces core functionality, we'll provide reasonable notice.
Eligibility
You must be at least 16 years old and able to form a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements and that the registration and account information you provide is accurate, current, and complete.
Accounts and Security
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Keep your password confidential, use the Services only through authorized access, and notify us promptly at admin@cleansmartlabs.com if you suspect any unauthorized use. We are not liable for losses arising from your failure to keep your credentials secure.
Plans, Billing, and Payment
Paid plans—Starter, Professional, and Business—are billed in advance on a recurring (monthly or annual) basis through our third-party payment processor. By choosing a paid plan you agree to the following:
- Authorization: You authorize us to charge your payment method for the applicable fees, including recurring charges, until you cancel.
- Auto-renewal: Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date.
- Price changes: We may change our fees; we'll give you advance notice, and changes take effect at your next renewal.
- Taxes: Fees are exclusive of taxes, which you are responsible for where applicable.
- Non-payment: If a payment fails, we may suspend or limit your access until the balance is resolved.
- Cancellation and refunds: You can cancel anytime from your account dashboard; cancellation takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable.
Free Trials
We may offer free trials of paid features. Unless you cancel before the trial ends, the trial may convert to a paid subscription at the then-current rate. We may modify or discontinue trials at any time.
Your Data
You retain all rights to the data you upload, connect, or process through the Services ("Your Data"). You grant us a limited, non-exclusive, worldwide license to host, store, process, and transmit Your Data solely to provide and maintain the Services for you. We do not use Your Data to train AI models or for any purpose other than providing the Services, as described in our Privacy Policy.
You represent and warrant that you have all rights, consents, and permissions necessary to upload Your Data and to have it processed by the Services, and that doing so does not violate any law or the rights of any third party. You are responsible for maintaining your own copies of Your Data; data is retained and deleted according to your plan's retention period.
Acceptable Use
You agree not to:
- Upload or process data you do not have the legal right to use, or that is unlawful, infringing, or harmful;
- Process special categories of sensitive personal data without an appropriate legal basis;
- Reverse engineer, decompile, or attempt to extract the source code of the Services;
- Resell, sublicense, or provide access to the Services to third parties except as expressly permitted;
- Interfere with, disrupt, or place an undue load on the Services or attempt to gain unauthorized access to them;
- Circumvent any security, authentication, or usage limits;
- Use the Services to build or benchmark a competing product; or
- Use the Services in violation of any applicable law, including data protection and privacy laws.
Review, Approval, and Your Responsibilities
CleanSmart surfaces suggested changes with confidence scores, but you remain responsible for reviewing and approving changes before they are applied and for the accuracy of Your Data after processing. Automated cleaning is a tool to assist your work; it is not a substitute for your own judgment. You should validate results before relying on them for business, legal, financial, or compliance purposes.
Intellectual Property
The Services—including all software, designs, text, graphics, and the CleanSmart, SmartMatch, AutoFormat, SmartFill, LogicGuard, and Clarity Score names and logos—are owned by CleanSmartLabs and protected by intellectual property and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works from any part of the Services except as expressly permitted.
If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
Third-Party Integrations
The Services can connect to third-party platforms such as HubSpot, Salesforce, Mailchimp, Klaviyo, and Shopify. Your use of those platforms is governed by their own terms and policies, and we are not responsible for them. By connecting a third-party service, you authorize us to access and exchange data with it as needed to provide the Services.
Service Availability
We work to keep the Services available and reliable, but we do not guarantee that they will be uninterrupted, secure, or error-free. We may suspend or restrict access for maintenance, security, or legal reasons, and we'll try to provide advance notice where practical.
Termination
You may stop using the Services and cancel your account at any time from your account dashboard. We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or use the Services in a way that risks harm to us, other users, or third parties.
On termination, your right to use the Services ends and Your Data is deleted in accordance with the retention terms in our Privacy Policy, except where retention is required by law. Provisions that by their nature should survive termination—including intellectual property, disclaimers, limitation of liability, indemnification, and governing law—will survive.
Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any data cleaning result will be accurate, complete, or fit for your intended use. You are responsible for reviewing and verifying all results.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEANSMARTLABS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100).
Indemnification
You agree to indemnify and hold harmless CleanSmartLabs and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of Your Data, your use of the Services, or your breach of these Terms or violation of any law or third-party right.
Governing Law and Disputes
These Terms are governed by the laws of the United States and the State of Oregon, without regard to its conflict-of-laws principles. Before filing a claim, you agree to first contact us at contact@cleansmartlabs.com to try to resolve the dispute informally. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Oregon, and you consent to personal jurisdiction there.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we'll notify you by email or by posting a prominent notice before the changes take effect. Your continued use of the Services after the changes become effective means you accept the revised Terms.
